Statutes
The association's statues represent a contract describing how the association functions.
Article 1: Name
Between the members and the present statues, henceforth is founded an association ruled by the law of July 1st 1901 and the decree of August 16th 1901, named: Flash Our True Colors (Projetons nos vraies couleurs) (FOTC).
Article 2: Object
The object of the association is to fight against any form of discrimination LGBTQIA+ people face.
It works particularly against discriminations based on gender identity, intersexuality, romatic and/or sexual orientation, morals or health conditions.
The association realizes its objective towards its members, but also non-members.
Article 3: Length
The length of the association is unlimited.
Article 4: Headquarters
The headquarters are in the city of Amiens (80).
Article 5: Members
Memberships run for the civil year. If one becomes a member in december, the member does not need to pay fees for the next year.
Each admission is validated by the administrative council. Meanwhile, the person is considered as a member but does not have the right to vote at the general assembly. The association does not need to motivate membership refusals.
Paragraph I: Composition
The association is composed of:
- simple members: people who pay annual fees as determined by the general assembly.
- protected members: people who, because of their sexual orientation or gender identity, are at risk and desire the support of the association; they benefit from a fee reduction or waiver.
Simple and protected members have the right to vote and are eligible for the administrative council. Members who are minors have the same rights, however minors under 16 years of age must have prior written authorisation from their guardians.
The association can also be made up of:
- associative members: associations that pay a fee fixed each year by the general assembly.
- employee members: people employed by the association that want to be members, they may be excused from paying fees.
Associative and employee members are not eligible for the administrative council and do not have the right to vote.
Article 6: Removals
Membership can be lost by:
- a resignation in writing;
- for a physical person, death;
- for a moral person, by its liquidation or dissolution, for any possible cause;
- the non-payment of membership fees when due causes the presumed resignation of the member;
- exclusion as pronounced by the administrative council for a serious reason.
Article 7: Ressources
The ressources of the association include:
- membership fees;
- grants from the State, territorial collectivites and public establishments;
- the products of manifestations it organizes;
- donations;
- benefits from the sale of products or services that enter in or may contribute to the realisation of its objective;
- any other ressources authorised by the law and regulations in place.
Article 8: Administrative Council
The association is managed by an administrative council composed of 3 to 9 members elected by the general assembly until the next ordinary general assembly.
Typically, the composition of the administrative council must reflect to the best possible extent the composition of the association.
The administrative council meets at least 3 times per year, upon convocation of the referent adminmistrators or at the request of one third of the administrators. Any member of the administrative council who has not attended three consecutive meetings will be considered as having resigned.
Decisions are made by the majority of the voices of the administrative council. If needed, the administrative council can meet virtually.
In case of vacant places, the administrative council can temorarily name a replacement of its members, including referents. Their definitive replacement happens at the next general assembly.
Paragraph I: Eligibility
To be eligible for election to the administrative council, one must regularly participate in the association's activities. This is left to the appreciation of the general assembly.
Any member who holds an elected mandate (municipal, departmental, legislative) is not eligible for the administrative council. Hence, members of the administrative council that run for a post of elected official of the Republic are considered as having resigned.
Leaving members are reeligible.
Paragraph II: Referents
Immediately after the election, the administrative council elects among its non-minor members the following referents:
- a legal referent
- a financial referent
- if the association has employees: an employee referent
These posts are not cumulative. Other referents can be named by the administrative council among the administrators and non-employee -members of the association.
Article 9: The general assembly
The general assembly includes all the members of the association. If needed, it can meet virtually.
At least fifteen days prior to the fixed date, the members of the association are convocated in writing by the administrative council. The agenda is indicated in the convocations.
The administrative council presents the moral situation of the association.
During the general assembly, only subjects on the agenda can be treated.
The decisions made by the general assembly are valid when they are accepted by the majority of voting members present or represented. Those who became members after the date at which the general assembly was convocated do not have the right to vote.
Members who cannot be present can be represented by another member by notifying the administrative council in writing before the general assembly. Each elector cannot hold more than three voices, including their own.
Paragraph I: Ordinary general assembly
It is held in the first trimester of each year.
The administrative council presents the management, submits the annual activities report and the annual financial report for the approuval of the assembly. The financial report presents, by beneficiary, the reimbursements of expenses for missions, travel or representation.
After finishing the agenda, the administrative council is elected. The vote can be held by a blind vote at the request of a member.
Paragraph II: Extraordinary general assembly
The extraordinary general assembly can be convened by an administrator if needed or by any member upon request of one third of the members.
Article 10: Remibursement of expenses
All of the positions, including those of the members of the administrative council, are free and volunteer positions. Only occasionnal expenses incurred during their missions are reimbursed upon production of proof, according to the procedure outlined in the internal regulations.
Article 11: Internal regulation
Internal regulation can be established and modified by the administrative council.
Thus regulation is destined to fix different points not treated in the statues, especially those concerning the internal administration of the association.
Article 12: Establishments
The association can have establishments to reach its objectives.
For each establishment, a chart of how it functions it established and modified by the administrative council.
Article 13: Dissolution
In case of dissolution as pronounced by two thirds of the members present at an extraordinary general assembly, one or several liquidators are named.
In no case members of the association can be attributed, outside of what they brought to the association, a part of the association's goods.
The eventual active is transfered to an association with similar objectives with a confirmation vote from the general assembly.
